Effective 24 October 2026
Terms of Service
The agreement that covers your use of Flare Reply, in plain language where we could.
1. The agreement
These Terms of Service (“Terms”) are an agreement between Flare Reply (“we”, “us”) and the business or individual that creates an account (“Customer”, “you”) for Flare Reply (the “Service”). By creating an account, accepting an invitation or using the Service you agree to these Terms, our Privacy Policy, our Acceptable Use Policy and our Data Processing Addendum, which form part of them.
If you accept on behalf of a company, you confirm you are authorised to bind it. If you are an agency using the Service for your clients, you are responsible for having your clients’ authority to connect their Meta assets and process their leads.
2. The Service
The Service lets you receive leads from Facebook and Instagram Lead Ads, manage them in a pipeline, reply on WhatsApp, score them, sync them with Google Sheets, automate follow-ups, report lead quality to Meta through the Conversions API, and view reports. We may improve, change or remove features; if we remove a feature you pay for in a way that materially reduces the Service, we will tell you in advance.
Free trial. New accounts get a 14-day trial with the limits of the Growth plan. When it ends, the account moves to the Free plan’s limits unless you choose a paid plan. Your data is kept.
3. Accounts and eligibility
- The Service is for businesses and professionals. You must be at least 18 and able to enter into a binding contract.
- Give accurate account information and keep it up to date.
- Keep sign-in details secure. You are responsible for activity under your account and for the team members you invite and the roles you give them.
- Tell us promptly at the email address shown in your account if you suspect unauthorised access.
4. Your responsibilities for lead data
You decide which leads to collect and what to do with them; for that data you are the controller (or “Data Fiduciary”) and we act on your instructions. You agree that:
- your Lead Ad forms show a privacy policy link and tell people how you will contact them, including by WhatsApp where you use it;
- you have a lawful basis, such as consent, for every message you send and for sharing lead quality with Meta;
- you honour requests from leads to stop contacting them or to delete their data, and you respond to deletion requests we forward to you;
- you comply with all laws that apply to you, including India’s Digital Personal Data Protection Act, 2023, telemarketing and anti-spam rules, and (where they apply) the GDPR and other privacy laws;
- you do not upload special categories of sensitive data (such as health, financial account or biometric data) unless you have the legal basis and safeguards that law requires.
5. Meta, WhatsApp and other third-party services
The Service connects to products run by others, including Meta (Facebook, Instagram, WhatsApp), Google and Razorpay. Your use of them is governed by their own terms, which you must follow, including Meta’s Commercial Terms, Advertising Standards, Lead Ads terms, Platform Terms and the WhatsApp Business Messaging and Commerce Policies.
Flare Reply is not affiliated with, endorsed or sponsored by Meta Platforms, Inc. We are not responsible for third-party services, their availability, or changes they make (for example, to an API, permission or policy) that limit what the Service can do. If a third party suspends your account or our access, the related features stop working until it is restored.
You authorise us to access your connected Meta, Google and other accounts only as needed to provide the features you turn on, and you can revoke that access at any time.
6. Acceptable use
You must use the Service in line with our Acceptable Use Policy. We may suspend access that breaks it or that puts the Service, other customers or third parties at risk.
7. Plans, fees and taxes
Paid plans are billed monthly in advance in Indian rupees through Razorpay, at the prices on our Pricing page, plus GST and other applicable taxes. Subscriptions renew automatically each month until cancelled.
If you change plans, the new plan applies once Razorpay confirms the change, and Razorpay calculates any difference on your next charge. If a payment fails, Razorpay retries it; if it still fails, the account moves to the Free plan’s limits until payment succeeds. Leads keep being captured.
Usage limits for each plan are shown on the Pricing page and in Billing. Over the monthly lead allowance, every lead is still captured and sent to Meta, but AI scoring switches to rules until the next month or an upgrade.
We may change prices with at least 30 days’ notice; the new price applies from your next billing period after the notice.
Cancellations and refunds are covered by our Cancellation and Refund Policy.
8. Your data
You own the data you and your leads put into the Service (“Customer Data”). You give us permission to host, process and transmit it only to provide and support the Service for you, as described in the Data Processing Addendum.
You can export your leads at any time from Settings → Privacy and data. After your account or a workspace is deleted, we delete its Customer Data within 30 days, except billing records we must keep by law.
We may use aggregated, de-identified statistics about how the Service performs (for example, event delivery rates) to run and improve it. These never identify you or your leads.
9. Our intellectual property
We own the Service, its software and its design. We give you a non-exclusive, non-transferable right to use it during your subscription for your business purposes. Do not copy, resell, reverse engineer or build a competing product from it. If you send us feedback, we may use it without obligation to you.
10. Confidentiality and security
Each of us will protect the other’s confidential information with reasonable care and use it only for this agreement. We protect Customer Data with the measures described on our Security page and in the Data Processing Addendum.
11. Availability and support
We work to keep the Service available around the clock but do not guarantee it will be uninterrupted or error-free. Planned maintenance is announced in advance where possible. Support is by email at the email address shown in your account; we aim to reply within one business day.
12. Suspension and termination
You may cancel at any time in Billing or by emailing us; your plan runs until the end of the paid period.
We may suspend or end your access if you materially breach these Terms or the Acceptable Use Policy and do not fix it within 7 days of notice, immediately where the breach is serious or unlawful or harms others, or if required by law or by a third-party platform. If we end the Service for convenience, we will give 30 days’ notice and refund any prepaid fees for the unused period.
After termination you can export your data for 30 days, after which we delete it as described above.
13. Disclaimers
The Service is provided “as is”. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise any advertising result: how Meta uses quality signals, and the leads, cost or sales you get, depend on Meta and on your campaigns. AI scores are suggestions and may be wrong.
14. Limitation of liability
To the extent the law allows, neither of us is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, even if told they were possible.
Our total liability arising from these Terms in any 12 months is limited to the fees you paid us in those 12 months (or ₹10,000 if you used only free plans). These limits do not apply to fraud, wilful misconduct, your payment obligations, or liability that cannot be limited by law.
15. Indemnity
You will defend and indemnify us against third-party claims arising from your Customer Data, your messages and campaigns, or your breach of these Terms or of the law, including claims by your leads or by Meta. We will notify you promptly and let you control the defence.
16. Changes to these Terms
We may update these Terms. We will give at least 15 days’ notice of material changes by email or in the app. If you keep using the Service after a change takes effect, the new Terms apply; if you do not agree, you may cancel before then.
17. Governing law and disputes
These Terms are governed by the laws of India. We will first try to resolve any dispute informally within 30 days of written notice. Failing that, the courts of Mumbai, Maharashtra, India have exclusive jurisdiction, without preventing either of us from seeking urgent relief elsewhere.
18. General
These Terms are the whole agreement between us about the Service. If a part is unenforceable, the rest stays in force. Neither of us may assign them without the other’s consent, except to a successor in a merger or acquisition. Neither of us is liable for delays caused by events beyond reasonable control. Notices to us go to the email address shown in your account; notices to you go to your account email.
